Legal Counsel

Overview

Our client is an oil and gas trading/marketing company with Canadian operations based in downtown Calgary.  Currently they are looking to add a Legal Counsel to their team.  This is a full-time opportunity.   

Responsibilities:

The successful candidate will be primarily responsible for providing legal advice on general contractual matters, including commodity trading and regulatory matters related to the operations of the Company’s commodity trading business as well as support new strategic development projects.

Specific duties include:

  • Work collaboratively with all business unit leaders to understand the business, proactively identify legal issues, and provide guidance and support for the Company’s growth strategies
  • Assess merits, identify risks and liabilities for the Company regarding energy, employment and other matters
  • Review, negotiate, and draft amendments to master sales agreements
  • Review, negotiate, and draft bespoke long- and short-term purchase and sale contracts including transaction confirmations and asset management agreements
  • Support finance by reviewing and advising on banking and credit agreements
  • Assist with the preparation and implementation of the Company policies procedures and programs
  • With support from the Director, Legal, provide advice on any other legal issues that arise, including compliance, import/export, and trade restrictions

Requirements:

  • Law degree (LL.B. or Juris Doctor) from a recognized institution and membership in good standing with the Law Society of Alberta or another provincial law society
  • 5 to 10 years post-call corporate law experience, preferably with a focus in commodity trading
  • Strong transactional experience, including drafting and negotiation capabilities
  • An enthusiastic team player with excellent interpersonal skills and customer focus who will work well with others in a fast-paced environment
  • Ability to provide sound business and legal advice to all levels of the company
  • Well organized, with an ability to manage multiple projects and priorities
